These Terms of Service ("Terms") govern your access to and use of StratVault and its websites, applications, and services (collectively, the "Service"), operated by StratVault ("StratVault", "we", "us", or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Description of the Service

StratVault is an educational and analytical platform that provides trading education, strategy content, historical market data, and backtesting and simulation tools. The Service is intended to help users learn about and study trading strategies using historical and hypothetical data.

StratVault is not a broker-dealer, investment adviser, financial planner, or exchange, and does not execute trades, hold funds, or provide brokerage services.

3. Not Financial, Investment, or Trading Advice

All content, tools, data, backtests, scores, and materials provided through the Service are for educational and informational purposes only and do not constitute financial, investment, legal, tax, or trading advice, nor a recommendation, solicitation, or offer to buy or sell any security, option, or other financial instrument. StratVault is not a registered investment adviser or broker-dealer and does not provide personalized investment advice.

You are solely responsible for your own trading and investment decisions. You should consult a licensed financial professional before making any financial decision. Any action you take based on information from the Service is strictly at your own risk.

4. Trading Risk Disclosure

Trading and investing in securities, options, and other financial instruments involves a substantial risk of loss and is not suitable for every investor. You may lose some or all of your invested capital, and in certain instruments (such as options or margin trading) you may lose more than your initial investment.

Hypothetical, simulated, and backtested results have inherent limitations and do not represent actual trading. Because such results are achieved with the benefit of hindsight, they may not reflect the impact of real-world factors such as liquidity, slippage, fees, market conditions, or emotional decision-making. Past or backtested performance is not indicative of, and does not guarantee, future results. StratVault makes no representation that any account will or is likely to achieve profits or losses similar to those shown.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. You may sign in using third-party providers (such as Google or Whop); your use of those providers is also subject to their terms.

6. Subscriptions, Billing, and Payment

Paid features are offered as subscription tiers. Payments are processed by our third-party provider, Whop. By subscribing, you authorize recurring charges to your selected payment method until you cancel. Prices and features may change; we will provide notice of material changes where required.

7. Refunds

All sales are final. We do not offer refunds or prorated credits for any purchase, including monthly subscriptions and any one-time offers. This applies even where a purchase began with a free trial — once a paid charge is made, it is non-refundable.

You may cancel a subscription at any time to stop future billing; your access continues through the end of the period you have already paid for. By completing any purchase you confirm that you have read and agree to these Terms, including this no-refunds policy.

8. Acceptable Use

You agree that you will not, and will not attempt to:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Resell, redistribute, scrape, or republish the Service's data, content, or educational materials without our written permission;
• Share, sell, or transfer your account, or access the Service through automated means except as expressly permitted;
• Reverse engineer, decompile, or attempt to extract source code, or circumvent any security, access, or usage limits;
• Interfere with or disrupt the integrity or performance of the Service.

9. Intellectual Property

The Service, including its software, design, text, graphics, and educational content, is owned by StratVault or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. Content you create (such as journal notes) remains yours; you grant us a license to host and process it solely to provide the Service.

10. Third-Party Services and Data

The Service relies on third-party providers (including hosting, authentication, payment, and market-data providers) and may display data sourced from third parties. We do not guarantee the accuracy, completeness, or timeliness of any data, and we are not responsible for third-party services or their content. Your use of those services is subject to their own terms and policies.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, reliability, or availability of the Service or its data. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, StratVault and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading or investment losses, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid to us in the twelve (12) months preceding the claim or USD $100.

13. Indemnification

You agree to indemnify and hold harmless StratVault and its owners, employees, and providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. You may stop using the Service at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to the Terms or Service

We may modify these Terms or the Service from time to time. Material changes will be posted here with an updated "Last updated" date and, where required, communicated to you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless otherwise required by applicable consumer-protection law in your place of residence.
